Spider-man would do some sweet flip or spin him up, bat-man could'nt get out of his web cause he has no strength. All batman has is his mind, he can plan strategys out good. Spiderman can sense whats going on from where.

Batman did all that ninja/sword training to cut through the webs (or dissolve it) and when use the smoke bombs (from the first Batman) to distract spiderman. The Green Goblin could have taken Spiderman out after gassing him if he hadn't wanted to make him a partner in crime.
